The other side of the need for appropriate diligence by buyers is the need of the seller to provide information on a timely, organized and controlled basis to buyers for their evaluation.

As a result of our extensive experience working for buyers (as well as sellers), we have a deep knowledge of the M&A process, what buyers are looking for, what type of information should be provided, when and utilizing what delivery techniques, representations and warranties, etc. We use this information to assist corporations who are interested in divesting of subsidiaries, divisions or assets/liabilities. We work with their team of internal personnel and external advisors to help guide them through the divestiture process.

In addition to information organization, analysis and presentation, use of our hands on buyer side diligence experiences often allows us to identify client matters that will be of concern to buyers. This often allows advance notice to sellers who can then attempt to rectify or mitigate the concern even before the buyer is aware of the issue or to allow our client time to consider contractual structures to minimize the potential negative price impact of the issue.

We provide this service on a consulting fee basis rather than as a broker. While we do not take the lead in identifying potential buyers our extensive transaction experience sometimes allows us to identify appropriate buyers for our client to consider along with others they or their advisors may have identified.

As with our buy-side engagements, each is uniquely designed to meet the client’s objectives, their available staffing and prior experience, time and cost considerations and other factors. Our involvement has ranged from managing an entire auction process to more limited involvement in defined areas of the process.
